1. Make sure your business name is available.

To see if your LLC’s name is available in Alaska, you can do a quick business name search. If your business name is unavailable, you will need to establish an Assumed (or DBA) Name.

2. Appoint an Alaska registered agent.

Like most states, Alaska requires all LLCs (foreign and domestic) to have and maintain a registered agent. Per state law, your registered agent must:

Be an Alaska resident (over 18), or company authorized to provide registered agent service.
Have a physical address in Alaska.

3. File a Certificate of Registration.

To register your foreign LLC, you must file a Certificate of Registration with the Alaska Division of Corporations, Business and Professional Licensing. The filing fee is $350. Here’s a list of all the information you’ll need to include:

Legal name of your LLC and Assumed Name (if applicable).
State where you initially formed your LLC.
Duration. If your LLC will dissolve on a specific date, you must indicate that here. Otherwise, check “Perpetual.”
Business purpose and NAICS code. To find your NAICS code, visit the NAICS Association website.
Name and physical address of your Alaska registered agent.
Principal business address.
Management type. Indicate whether your LLC is manager-managed or member-managed.
Member or manager information. Please list the names and addresses of each member or manager of your LLC. You must also include each member/manager’s percentage of your LLC.
Name and signature of the person filing your certificate.
Person of contact. This is the person the state will contact if there are any questions regarding your application.

Do I need to file an Alaska Biennial Report?

Yes. All foreign LLCs in Alaska must file a Biennial Report every two years. Your due date will depend on when you initially registered. If you register during an even-numbered year, your report will be due by January 2 on even-numbered years. If you register during an odd-numbered year, your report will be due by January 2 on odd-numbered years. The filing fee is $200.

How are Alaska foreign LLCs taxed?

Alaska foreign LLCs that maintain their default tax status are taxed as passed-through entities. So, profits are passed through to each member, who then reports their earnings on their personal tax returns. Thankfully, Alaska does not have a state income tax. However, you may need to file taxes with your local city or borough.

Do I need an Alaska business license?
